DEFEAT FOR THE SOUTHERN.
Judge Wilkereon's Decision in tbe A.
G, S. InJunvitojj. Cjw.
Birmingham, Ala., Dec. 1.—JuJge
Wilkeraon of the Birmingham City
Court today rendered hie decision m
the A. G. H. railroad Injunction cues
dissolving the Injunction. This U a
victory tor th* C. H. and L>. people
over tbe Southern Hallway Com;,my.
Judge Wilkeraon, in Ms decision, says:
If oompltunant* are entitled to
maintain -the injunction It muet be
upon t.iclr right*:
1 1. A* hold-over director, of the Ala
bama Company rimming the cltlcer, or
2. Aa stockholder* of the Alabama.
Company, or
J As bondholders' of the Cincinnati
extension bonds, or
4 Ax stockholders of the English
Company.
These are separate and distinct
claims for relief. If all or any one is
established complainants are entitl' d to
the reitef prayed for, but Impvrfec.ion*
of one claim cannot be aided by eqult-
nbue principle* tending to support an
other. A* hold-over director*, they ran-
not try their rlghte to the office In this
forum.' A court of equity never under
take* ta settle the right of a claimant
to an office in a corporation. It doe*
deride euch a quewtion when auch a
dedition la necessary to correctly de
termine another Independent equity of
which It has jurleiMcton, and In such
ruses the decision does not settle the
right to the office except for the pur-
pote of that ruit. A* an . injunction
again*! waste a court of chancery may
be required to determine In whom tho
title to realty Is, but the title Is not
thereby settled between the partle* ae
It would be In action of ejectment,
but It la a collateral Inquiry ik-cc*-
earllv made In the determination of the
Issue of waste or not..
Complainant* can have no relief by
thla bill, a* ltold-over or ousted direct
or. cldmlng such offices. Bod ies, they
do not claim to have been fleeted for
another term nt the October meeting.
By their own act. Jfter participating
In the voting, the anrimaccment of Ike
retail of. thq election was,iby an In-
luncttbn prevented. HIM .h:Y Cannot fcc
heard to 'lay that therefore no one was
elected, and they have a right to hkt
over whether any ono was elected or
not.
For reason# given In tho decree tho
demurrer to bMl should bo sustained
rind the Injunction dlsDlved. Aside
from these coneldernthns, the auswer
denies any beneficial intcreat of com-
plainentef stockholders, and denies
that "said directors or cither of them
proposed to oontrol- this defendant',
business with a view to feed end 1 clie
nt the said Dayton railroad (yiilem or
to make personal profit."
On euch dentals If the .nlleeallona
of the bill of complainant's,Jnteieet es
stockholder and the danger- of Injury
to the property give It equity, tali In
junction should be dissolved.
Therefore, It Is ordered and decreed
by the court that thcdef»ndant'a de
murrer to complainant'* "bill be and
(he Same Is hereby euslatned for the
want of equity In arid bH). and that
the Injunatlon hereinbefore granted
be and tho tome It hereby dissolved.”
Complainants are ullowed twenty
days, within which time they may ap
ply for leave to amend their bill.
Should complainants appeal from this
order, and »*ek thereupon to restore
said Injunction the bond to be given
by tbem for such purpose shall be In
the *um of $12,000, with good and suf
ficient aurety approved by the clerk
and register, find payable to the clerk
and rexlster, and conditioned to pros
ecute arid appeal to tho effect and
pay any person all such coat as dam
age* as may be sustained on account
o$ mtd Injunction, It the same rooy be
thereafter dissolved.
