GEORGIA, Bartow County.
To the Superior Court of Said County:
The petition of James B. Torbert
and C. B. Samuel, of the City of Chat
tanooga and State of Tennessee, and
A. Nelson, of the County of Bartow
and State of Georgia, respectfully
shows:
1.
That they desire for themselves,
their associates, and successors, to be
incorporated and made a body politic,
for a period of twenty years, under the
name and style of
GAPA MINING COMPANY.
2.
The principal office of said company
shall be in the City of Cartersville,
state and county aforesaid, but peti
tioners desire the right to establish
bianch offices within this state, or
elsewhere, whenever they so desire.
3.
The object of said corporation is
pecuniary gain to itself and share
holders.
4.
The business to be carried on by
said corporation is mining, exploring,
preparing for market, selling, shipping,
milling, washing, grinding, refining,
and manufacturing Barytes (Barites),
and other ores and minerals, and con
structing such works, tramways, rail
ways, aerial tramways, pipe lines,
washers, mills, etc., as may be neces
sary, usual or convenient, to trans
port the output or product of the
mines to the railroad or spur tracks
and successfully carry on said plant,
and mine and market the above men
tioied ores or products, and to erect
houses and other buildings, and to bny
and sell any and all kinds of mer
chandise.
5.
The capital stock of said corpora
tion shall be Four Thousand Dollars
($4,000.), with the privilege of increas
ing the same to the sum of Fdrty
Thousand Dollars ($40,000.), said stock
to be divided into shares of SIO.OO
each. Ten per cent (10%) of the
amount of capital stock to be employ
ed by them has been awtually paid in.
Petitioners desire the right to have
the subscriptions to said capital stock
paid in money er property to be taken
at a fair valuation.

Petitioners desire the right to sue
and be sued, to plead and be implead
ed, to have and use a common seal,
to make all necessary by-laws and reg
ulations, and to do all other things
that may be necessary for the success
ful carrying on of said business, in
cluding the right to buy, hold, and sell
real estate and personal property suit
able to the purposes of the corpora
tion, and to execute notes and bonds
as evidence of indebtedness incurred,
or which may be incurred, in the con
duct of the affairs of the corporation
and to secure the same by mortgage,
security deed, <ff other form of lien,
under existing laws.
They desire for said incorporation
the power and authority to apply for
and accept amendments to its charter
of either form or substance by a vote
of a majority of its s!o*k outstanding
at the time. They also ask authority
for said incorporation to wind up its
affairs, liquidate and discontinue its
business at any time it may determine
to do so by a vote of a majority of its
stock outstanding at tne time.
They desire for the said incorpora
tion the right of renewal when and as
provided by the laws of Georgia, and
that it have all such other rights, pow
ers, privileges and immunities as are
incident to like incorporations or per
missible under the laws of Georgia.
Wherefore, petitioners pray to be
incorporated under the name and
-uyle aforesaid with the powers, privi
leges and immunities herein set forth,
and as are now, or may hereafter be,
allowed a corporation of similar char
acter under the laws of Georgia.
