Comes now your petitioner, Eco
nomic Opportunity for Clayton
County, Inc., and files this its pe
tition to amend the Charter and
shows to the Court as follows:
1.
Your petitioner was incorpo
rated by Order of this Court dated
March 31, 1966, and desires to amend
its Charter in the following way:
By changing the name as above
set out to “Clayton County Eco
nomic Opportunity Authority, Inc.”
2.
Your petitioner further amends
its Charter by striking the words
in paragraph No. 3 of its original
petition: “and more particularly
Title II of that Act” and inserting
in lieu thereof the words “and as
amended from time to time”.
3.
Petitioner further amends its
Charter by striking paragraph No. 7
of its original petition in its en
tirety and inserting in lieu thereof
a new paragraph 7 to read as fol
lows:
“The affairs of the corporation
shall be managed by a Board of
Directors. The Board of Directors
shall be composed of not less than
one-third of its membership, se
lected by the public officials in
charge of fiscal affairs of Clayton
County and its agencies; not le^s
than one-third of the composition
of the Board shall be elected by
civic organizations of Clayton Coun
ty at county-wide scope, and not
less than one-third of the compo
sition of the Board shall be elected
by local persons of Clayton Cpunty
residing in Clayton County who
qualify under the definition of “low
income bracket”, wherever feasible:
otherwise, they shall be selected by
the Clayton County Economic Op
portunity Authority, Inc. Board of
Directors. All persons voting to
elect a member to this board shall
have attained their 18th birthday
prior to signing any petition or
voting in any election for the pur
poses set forth.
4.
Petitioner further amends its
Charter by striking in its entirety
paragraph 13 of its petition which
read as follows: “It is the intent
of this Corporation that its scope
be limited to Title II of Public Law
88-452, 88th Congress, August 20,
1964, and those things essential in
carrying out Title II of said Act.”
WHEREFORE, petitioner prays
that this its Amendment be con
sidered and approved in every re
spect and that all other powers and
authority granted by the original
Charter remain in full force and
effect.

A RESOLUTION
WHEREAS, for clarification pur
poses it is deemed to the best in
terest of the Corporation to comply
with a Resolution by the Commis
sioners of Roads and Revenue of
Clayton County, Georgia, adopted
for the purpose of authorizing full
implementation of the Economic
Opportunity Act of 1964 by the
United States Congress and signed
by the President of the United
States, as an Act to mobilize the
human and financial resources of
the Nation to combat poverty in
the United States;
NOW. THEREFORE. we, the
Board of Directors managing the
affairs of the Corporation, at a regu
lar meeting after notice having been
given as is by law provided, and
with a quorum present, hereby re
solve that the Corporation Charter
shall be amended by changing the
name from Economic Opportunity
for Clayton County, Inc. to Clayton
County Economic Opportunity Au
thority, Inc and by striking* para
graph 13 of the Charter petition in
its entirety; by striking the wording
in paragraph 3 that limits the au
thority to Title II of the Act, and
to provide for the Act as amended
from time to time. Further, to
strike paragraph 7 in its entirety
and to insert a new paragraph with
a new composition of the Board to
include not less than 1/3 of its
membership selected by public of
ficials of Clayton County and and
its agencies: not less than one
third of the composition of the
Board shall be elected by civic or
ganizations of Clayton County at
county-wide scope, and not less
than one-third of the composition
of the Board shall be elected by
local persons of Clayton County re
siding in Clayton County who qualify

ter had initially been granted in
