M. Motz, all residents of the
State of Georgia, hereinafter
called Petitioners, respectfully
shows:
1. Petitioners desire for them
selves, their associates and
successors to be incorporated
under the name of NORTH DA
VIS DRIVE FURNITURE COM
PANY, INC.
2. The general nature of the
business to be transacted, and
the objects, powers and pur
poses thereof, shall be the buy
ing and selling of furniture
and other articles and items of
household and family use, in
cluding but not limited to fur
niture, rugs, lamps, china, me
tal ware, cutlery, kitchen ap
pliances, Jewelry, heating and
air-conditioning appliances and
sundry articles and furnishings
as are generally required and
made use of in and about the
home, yard, garden and other
property of its patrons.

3. The general nature of the ]
business or businesses to be
transacted is as follows: to-wit:
To purchase, improve, devel
op, rent, lease, exchange, sell,
dispose of, and otherwise deal
in real estate, to include, but
not limited to, residences,
apartments, stores, warehouses
and office buildings for itself
and others; to purchase, lease,
build, construct, erect, occupy,
hold, and manage buildings of
every kind and character what
soever; to finance the purchase,
improvement, development and
construction of land and build
ings belonging to or to be ac
quired by this corporation or
any other person, firm or cor
poration; the doing of all kinds
of public works, including
grading and paving of roads,
sidewalks and highways, the
laying of water mains and sew
ers and installation of gas and
electricity and other public ser
vices or utilities.

with all the rights and powers
now or hereafter given to do
any and all things which may
be needful or proper in the
operation of the above describ
ed business or businesses, and
that said corporation have all
of the powers enumerated in
Sections 22-1827 and 22-1828,
Georgia Code Annotated, and
such powers as may hereafter
be given by law.
5. The maximum number of
shares of stock with par value
shall be Twenty-Five Thousand
(25,000) Shares at the par val
ue of Two Dollars ($2.00) per
share. However, the amount of
i capital with which the corpora-
I tion shall begin business shall
be Three Hundred Dollars
($300.00) or One Hundred Fif
ty (150) shares. The corpora
tion shall be authorized to is
sue additional shares up to the
maximum sum above stated and
thereafter, from time to time,
but within the limitations set
forth in Section 22-1854, Geor
gia Code Annotated, to reduce
the amount of capital outstand
ing, but not below the mini
mum above stated, and all this
upon a majority vote of the
board of directors, approved by
a two-thirds majority vote of
the stockholders.
6. The time for which the
corporation is to have existence
is 35 years, with the privilege
of renewal of the charter, from
time to time, upon the expira
tion of said periods of thirty
five (35) years.
7. The county in which the
principal office of the corpora
tion is to be located is Houston
County, Georgia, but the privi
lege is desired to establish
branch offices and places of
business both within and with
out the State of Georgia.
8. The name and post office
address of each of the appli

that by-laws of the corporation

purpose the control and man

cluding provisions whereby the
by-laws may be amended.
10. Your petitioners herewith
exhibit a certificate of the Se
cretary of the State of Georgia
as required by Section 22-1803,
Georgia Code Annotated.
11. The corporation shall
have the power, upon a two
thirds majority vote of the
stockholders representing all of
the outstanding capital stock,
' counting one vote for each
i share of stock regardless of the
general voting qualifications of
said share, to change the capi
tal stock to share of no par
value, or to fix the value at
any other par value they may
determine to make it.
12. There shall be not less
than three directors, nor more
than five directors of this cor
j poration, whose terms, date
and place of meeting, and their
qualifications, and manner of
selection shall be determined
by the by-laws of the corpora
tion.
Wherefore, petitioners pray
to be incorporated under the
name and style aforesaid with
