2. At a duly called meeting of the stock
holders of said corporation, on the 28th
day of October, 1912, a resolution was
passed authorizing the president of said
corporation to petition the superior court,
in the name of said corporation, for an
order allowing said corporation to sur
render its charter and franchise to the
state and be dissolved as a corporation.
Said resolutions were signed by all the
stockholders of said corporation, and a
copy of same is hereto appended as "Ex
hibit A."
3. George C. Walters, president, peti
tions the court and shows that there are
no outstanding debts against said cor
poration, by "Exhibit B" hereto attached,
and that the dissolution of the same as
a corporation may be awarded without
any injustice to -any of the stockholders.

Conductor Laird Warns Vice
President Murdock He’s Not
Afraid of Anybody.
A wordy battle between Traveling Con
ductor J B. Laird, who resigned fron
the conductors' union because Vice Pres
ident Gregg requested him to be absent
from conferences of the conductors just J
before the strike on the Georgia rail
road last month, and Vice President Mur
dock, was the feature of a tedious ses
sion of the arbitration hoard this morning
Apparent ill feeling existed betweer
Laird and the union officials from th,
start, and it was not long before Mur
dock made reference to a scene in Su
perintendent Brand's office in September
when Gregg told Laird that he (Laird
"was afraid to say anything that Brane
hadn't told him to tell."
At the time this almost precipitated a
fight between Laird and Gregg, and tht
same thing resulted this morning when
Murdock brought up the question.
"I told Gregg then and I’ll tell yot
now that I say what I think, and If anj
one of you say that I don't there's go
ing to be trouble!" cried Laird, and
stepped toward Murdock.
“Gentlemen, I hope there will be nc
trouble," called Judge Chambers. "I know
how you Georgians are prone to resent
an Insult, but please don’t fight here.”
Many other witnesses were introduced
during the morning, contrary to expecta
tions, and the voluminous train sheets
and blue prints which occupied a corner
of the court room were not put In evi
dence, though proffered by Manager Scott.
Ijtlrd testified that at no time did the
union officials claim, in the conferences
before the stilke, that Paschal was being
persecuted, merely saying that Paschal
had been discharged because his engineer
had violated the slxteen-hour law. He
testified that the union. claimed Paschal
still had forty-two minutes leeway when
the train was sidetracked at Lithonia.
Most of the evidence in the morning
was favorable to the road’s contentions.
PICKPOCKETS ARE BUSY
IN FOOTBALL THRONG
A gang of pickpockets, believed to be
fresh from the Macon fair, did a lively
business in the football crowd today. J.
H. Dodd, a farmer of Boaz, Ala., was
robbed of SSO in Whitehall street, while
W. P. Archer, of Royston, Ga., was re
lieved of $7 on a Buckhead car.
