PLAN SCORED
Oil companies selling lots, instead
of stock, were rapped in a letter from
Secretary of State 8. G. Mclendon
to J. E. Johnson, vice president and
cashier of the Citizens Bank of San
dersville, Sandersville, Ga., made
public Saturday afternoon.
The plan of operation referred to
in Mr. McLendon's letter was that of
cutting land up into lots of 25 by
85 feet and selling them along with
an interest in the company at prices
ranging from $25 to S4O each, Rela
tive to this plan, the letter says:
“If you had 100 acres of land and
divided it up on this plan you would
get 7,066 lots. These lots, sold at $25
each, the minimum price named in
your letter, would bring $176,400, or
$1,764 per acre., The company agrees
to take one-third of. this sum, which
would be $58,800, and set this apart
as a sacred fund for the purpose of
boring for oil on this particular group
of lots.

have as profit $176,400, less $5%,800 ex
pended in boring for oil, and less, we
will say, SIO,OOO as original cost of
100 acres of land. This would give
the company a net profit of $107,600,
o 1 a profit of $1,076 per acre.
‘The company would thus be boring
with two augers, With one auger it
would be boring into the pockets of
7,066 lot ownerssfor profit to its own
stockholders, which would be as
sured, and would be very large if 7,066
lots were sold. With the other auger
it would be boring in the ground for
oil for the benefit of 7,056 lot owners
if by chance any oil should be discov
ered. These two instruments taken
together and construed in pari ma
teria, would constitute separate parts
of a single agreement, and would con
stitute in law a certificate of partici
pation, so far as th eowner of each
scparate lot was concerned.”

last year and a half associate mana
ger of the firm’s Atlanta office, has
been appointed manager of the new
office in Shanghai, China. Mr. De-
Vault will leave Atlanta this week
for New York to attend the annual
meeting of the firm members and
managers, after which he will proceed
to his new post in Shanghal.

is in line with the policy of the
firm to maintain offices in all parts
of the world to efficiently serve their
numerous clients whose interests

Atlanta September 11, which will be
attended by citizens prominent in
civie and patriotic activities from all
