PETITION FOR CHARTER.
STATE OF GEORGIA,
COUNTY OF GLYNN.
To the Superior Court of Said county:
The petition of E. C. Mai lien, Ed
win Brobslton, Albert. FeuJig and E.
H. Mason, all oi said state and coun
ty, and A. B. Coley, of the state of
New York, respectfully shows:
I. That peticners desire for
themselves and such other persons as
may hereinafter be associated with
them, to be incorporated under tno
corporate name and style of "The
Brunswick and Birmingham Develop
ment Company.”
11. That the object of said pro
posed corporation is pecuniary gain
to its members, and its special objects
are to buy, hold, own and Improve
lands and real estate generally, and
to sell exchange or otherwise dispose
of the same; to receive donations of
real estate and other property; to de
velop mineral lands: to develop town
sites aud to encourage immigration
to the localities in which it may be
come interested; to receive donations
of and to buy, own, told and sell
stocks and bonds anti other securities
and personal property of any kind;
and generally ito do such other acts
and things as may be deemed for the
best interests of such corporation,
which shall not conflict witn the laws
of Georgia.
111. That the principal office of
the proposed corporation shall be in
the city ot Brunswick, in said county
of Glynn, with the right to establish
branches or agencies at any other
point and in any other town or coun
ty in Georgia or Alabama, or else
where in the United States.
IV. That the capital stock of
the proposed corporrtion shall lie one
hundred thousand dollars, divided in
to one thousand shares of the par
value of one hundred dollars each,
with the right, by a majority vote of
the capital stock, to increase such
capital stock from (time to time to
any sum or sums not. t xcoouing five
hundred thousand dollars; that they
desire the right to receive in payment
for such stock real estate or personal
property; at a valuation to be fixed
by me board of directors.
V. That said corporation snail
not have the right to begin business
until at least ten per centum of the
capital stock subscribed is paid In,
either In cash or in property.
VI. Thai the 01D< era of said
corporation shall lie a president, vice
p rest dent, secretary and 'Uieasurer,
and such other officers or agents as
the shareholders or board of direct
ors may desire or direct; that the
board of directors shall consist, of not
more than nine nor less than three
members, all of whom shall be share
homers, to be clouted by the share
holders,
VII. That the shareholders shall
have the right; to fix and prescribe
rules, by-laws and regulations for the
government of said corporation, ot
to delegate this authority to the board
of directors.
VIII. That, under such corporate
name and style, your petltionrs desire

borrow money and secure the same
as the board of directors may desire;
to lend money and take security there
for; to have and use a common seal,
and to-change the same at pleasure:
and generally to have all the rights

rights, privileges and powers given
and granted similar corporations un
der the laws of Georgia.

be incorporated under said name and
style of The Brunswick ami Binning-
Warn Development Company, with all
the rights, privileges and powers pray
ed for herein, for a. period of twenty
years, with the privilege of renewal
at the end ol that time.

Loan and Land Company of Bruns
wick.”
Second. That the object of such
corporation is the peuunjary gain
of its members, and they wish to own
hold, improve, and sell, or otherwise
dispose of real estate, to lend money ;
and take security therefor, and to j
buy anu sell stocks and bonds and I
personal property ox any kind.
Third. That tne principal office of j

of Brunswick, in said county of
