PETITION FOR CHARTER
STATE OP GEORGIA,
COUNTY OF GLYNN.
To the superior court of said county:
The petition of S. S. Rickett and
Benito Padrosa, both of Glynn county.
Georgia, and of Samuel A. Sizer, of
Duval county, Florida, respectfully
shows:
1. (That petitioners), their asso
ciates and successors, desire to become
a body corporate and politic under
the laws of the stale of Georgia,
under the name and style of the “Pino
Lumber Company.”
2. That under such corporate name
they desire to carry on for pecuniary
profit, for the period of twenty years,
with privilege of Renewal thereafter
according to law, the business:
(a) Of buying, leasing, acquiring,
selling and otherwise, utilizing and
disposing of lands, timber rights and
privileges therein, and to manufacture,
buy and sell logs and lumber of ev
ery character.
(b) To erect and operate saw mills,
planing mills and dr. ( kilns for the
manufacture and sate ij>f the product
thereof.
(c) To construct trapi roads anil
operate the same for fir o tit, for the
use anil *b well the proof of petition
ers.
(and) To engage in the merchandise
business in connection with tho busi
ness of said corporation.
(e) To buy and sell real and per
aonal property of every character.
S. The capital stock of said corpo
ration shall be ton thousand dollars
($10,000.00) divided Into one hundred
shares of SIOO.OO each, no part of
which has yet been paid in. but lie
fore commencing business under a
charter gramtod hereunto, at Mist
twenty-five per cent. thereof will be
paid In cash, with privilege to increase
said capital stock from lime to time
by a vote of ninety per cent, of the
stock then outstanding to an amount
not to exceed one hundred thousand
dollars ($100,000.00.)
(4) The chief office of said cor
poration shall be in tiie city of Bruns
wick, Glynn coulnty, Georgia, with
branch offices at other points in
Geprgjia, Jn the United Slates., or
elsewhere, where necessary or con
venient (for the transaction of its
corporate business, and as well to con
duct and carry on the business of
said corporation in the state of Geor
ia and elsewhere, as to said eorpora
ion may seem available.
5. Petitioners desire the privi
lege of issuing the fully paid non as
sessable stock of said corporation
in payment wholly or partially for
lands, timber or interest, therein, or
persona] property useful In carrying
on the corporation’s buslnses.
6. Petitioners desire the right to
borrow money and secure the same
train time to time by mortgage, deed
of trust or other form of security.
7. The number of officers and di
rectors, with their duties, shall bo
fixed by the by-laws of said corpora
tion, and are subject to change from
time to time.
8. Petitioners desire for themselves
and associates, under such corporate
name, to Aave the right to make by
laws for *ie government of said cor
poration, To suo and bo sued, to plead
and be impleaded, and generally to
have all the rights and be subject
to all of the liabilities given by law
to private corporations.
