Injunction from Folfon.
WiiBis, O. J.—This wsa a bill fl’ed by the
complainant against the defendant, praying for
an injunction to restrain the defendant from
constructing, equipping, or operating any street
railway in any street of the city of Atlanta. On
hearing the motion on tbe bill, answer of de
fendant. nnd exhibits attached thereto, the pre
aiding Judge granted the injuuotion prayed for,
wheroupon the defendant excepted. On the
23d day of February, 18CG, the General Assem
bly of this State passed an Act incorporating
tho Atlanta Street Railroad Company. By the
2d seo'ion of said Act it is declared, “That said
company GhAllbavo tbe exoluaive power and au
thority to survey, lay-out, conAtrnct and equip*
n«n and employ street railroads in the city of
Atlanta subject to tbe approval of tbe City
Counoil thereof, for each route seleoted flrat
had nnd obtained before the work thereon shall
be comm-nced.*’ This charter being silent as
to tho timo of its oontiuuarcs. It will not ex
pire nntti thirty years after da»«. (Code 1C77 )
Oa the 2Gth day of August, 1872. the General
Assembly pasted an Aot incorporating the Weat
Eod and Atlanta Street Railroad Company.

'That said company shall bo entitled to all
lbo powers and privileges of tho Atlanta
Street Railroad Company, and subject to the
same liabilities and restrictions,” tbat Is to say,
the West End aud Atlanta Street Riilroad Com
pony shall have tbe exoluaive power and au
thority to snrvey. lay out, construct snd equip,
use and employ street railroads m the oity of
Atlanta, subject to the approval of the City
Connoll thereof, for each route edectid. first had
and obtained before the work thereon shall be
commouoed. It will bo noticed tbat neither
company has Ihe exclusive power snd author
ity under the respective charters to constrnot
and use any street railroads in tbe city of At
lanta. until the rente has first been selected by
R and approved by the City Council thereof.
The complainant alleges that it hfts already in
operation eight miles of street railroad at a ooet
of $140,000. bnt does not Allege on what streets,
or routes, the same having been seleoted ft
located; nor ia it alleged that any particular
street, or route, has been selected by it for a
street railroad in the city, and been approved
by the City Oonncil, as required by its charter.
It fs true that the complainant alleges, that be
fore commencing work on said streets it made
sn application to the City Council of said city
for their approval, according to the terms of tbe
charter, and said city did approve the same in
tho following words, which is a oopy of the or
dinance of the City Conncil: "Authority is
hereby granted to the Atlanta Street Railroad
Company to construct street railroads on any
s'reefs io tbe citv, and across the bridse oo
Bror d street.” On the 27th of June, 1873, the
defendant petitioned the City Connoil to allow
it to construct and use a afreet railroad in the
olty of Atlanta, under its charter from tba Pss-
sengcr Depot, to tbe Ponce ile Leon Springs,
which was granted by the City Council, speci
fying the route and the streets on which it was
to be oonsfrnoled, which route and streets are
not occupied and used by the complainant**

use of a street railroad on this selected route by
tbs defendant that tbe complainant peeks to en
join. The oompU<nant insists tbat nuder its
charter tbe Geneial Assembly have granted to it
the unconditional, exclusive franchise to con
struct and use atrert fail roads in all of the streets
cf the city of A*Ian*.* for tbe term of thirty
years, that being tbe timo of the duration of
its charter nnder the law: that upon the ac
ceptance of tbe charter by the company it
became sn executed eoatraot which the Lsgis-
!atore oonld not imoair by granting another
charter to the defendant, and if the Legislature
oonld do so for the benefit of fbe pnblic, then
it con'd only do it by making just compenav
Hon. These general legal propositions contended
for, are reoogn^ed and admitted, provided, the
complainant baa the unconditional exclusive
right of franchise, granted to it bv its ©barter,
to oonatrnct and use sireet railroads in all of the
streeta of th© city cf Atlanta. It is a well
established rule of law. that exelnsico grants.
In deroga'lon of oommon rights, as well ss in
all c*se« in whioh exclusive rl/tbt* are claimed
und#T a legislative grant to a corporation, that
sneb grant should be strictly cors'rued, that
nothing is to be intended bevond tbe express
words contained in iL Applying this mlo of
construction to tbe complainant’s grant, as ex
pressed in its charter, does it give to it the
xfUconditional exclusive right to construct and
use street railroads in all of the streets of the
city of AClanta for thirty years? Or. is the
granL'iu their charter, restricted and limited
to tba excln&lve right to construct and use Mich
stre*t railroads only for each route selected
by (bo oompany in the city of Atlanta, as may
be approved by the Oity Council thereof? If
the complainant’s oompany have tbe exclusive
franchise as claimed under its charter, then it
©untied to tfce protection of tba l»w,
however gr*at a monopoly it may be. The
words cf the charter are "that said com
pany shall have the exclusive power and
authority to convey, lay out, oorstruct and
equip, n«e snd employ, street railroads in the
city of Atlanta subject to the approval of the
City Council thereof for each route selected,
fir*t bad and obtained, before the work thereon
shall be commented.” Io our judgment, (here
are co word* in this charter which grant to tbe
complainant’s company the unconditional ex
elusive power and authority to construct and
use street railroads in all cf tbe streets of tbe
city of Atlanta, but that the grant is limited and
restricted to each route that may be selected by
the oompany In th* streeta of tbe city of At
lanta, which shall be approved by the Oity
Council thereof. When each route fer the street
railroad has been selected by the company in
one or more streets in tbe city and approved by
City Council thereof, then the company have
under the grant in the charter, the exoluaive
power and authority to construct and use
etreet railroads oa eech route ao selected and
approved, and that is the extent of the grant.
The exclusive grant to construct and use street
railroads ou each route that may be selected
in the streets of the city, and approved by
the City Council, is one thing. The exclusive
grant to construct and u*e street railroads
in all the streets cf the city for thirty yean
is .mother and quite a different thing, as
will be readily perceived. The com-

charter to give its approval in advanoe before
anv route had been selected by the oompany
and sufcm'tted for its approval. The City Coun
cil. nuder the charter, were to approve of each
route selected by the company for tha construc
tion and n«e of street railroads in the city where
the tame should be submitted by the oompany
for their approval, and not until that had been

it has the exclusive righta granted to it by the
charter, to construct and use street railroads in
all of the streets in tbe city, for thirty yean,
whenever it shall select a route therefor, and
obtain the approval of the City Conncil.—
This construction of the grant, would place
it entirely in the power of the oompany to
construct only such street railroads In the city,
as it might think proper, and to disregard the
wants and convenience of the citizens in any
other pert of the city for thirty years. C«.n i
be possible, or even probable, that the General
Assembly intended that, in making the gr&nt ?
I« it not more reasonable to say, in oonatruiug
the grant, that it was the intention of the Legia
latnre that the oompany should have tbe exclu
sive right to oouatruot and use such street rail
roads only in tbe city, each route of which it
had selected, and obtained the approval of the
City Council; the grant ia not the exclusive
power and authority to construct and use street
railroads in all the streets of the dty for thirty
years, but the grant is to construct and use
street railroads in tbeeity sobj act to tbe approval
of toe City Council thereof for each note se
lected first, had, and obtained before the work
thereon shall be oommenoed, and to each ronte
ao selected and offered the company, shall have
tha exclusive right to construct and use street
railroads thereon for thirty yean. Tbe inten
tion of the Legislature as to the exclusive
right claimed to have been granted to construct
and use street railroads in all tbe streets of
the city, ia not doubtful, when viewed In t l
light of the Aot of 1872; for we eannot impart
to that body an intootfon to impair a grant
which they had previously made, which we mm *
do in order to rastain the construction con
tended for. If the Legislature had thought that
the complainants' oompany had the exclusive
right to use and occupy all tbe streets in the
city under its grant as claimed, they would not
have made the grant they did to the defendsnt’s
oompany. To construe the grant to the com
plainants* company as vesting hi it the exclusive
right to oouatroct aud use street railroads in all
the streets of the city, will be to contravene the
expressed intention of the Legislature and give
to that company an exclusive monopoly over
all the streets in the city for thirty yean as to
the construction and use of street railroad*
therein, to be exercised, at the pleasure or ca
price of the company, it may select what routes
it pleases for the approval of the Oity Council,
or not nae and occupy any more than it has al
ready done, in defiance of the public welfare
and interest cf the city, if it shall be its pleas
ure or interest to do so. To limit tbe construc
tion of tbe grant in each charter to suoh routes
iu the city as each company may select and the
City Council approve, will beat protect the in
terest of the public, maintain (he legal rule as
to the contraction of sach grants, and give
effect to both acts of the General Assembly.
The seleotion of routes in the city by either
company in the streets thereof, which are not
oocupied with the approval of the City Connoil,
will accomplish just whkt tho Legislature in
tended shonld be done in the construction
and nae of street railroads in the city of At
lanta. Construing both these acts together
and the grants contained in each of them, it
is clearly apparent that it was not the inten
tion of the Legislature to grant to either
oompany (he exclusive right to construct and
uae railsoads in all the streets of the city for
thirty years, but tba grant to each ia the exclu
sive right to construct and nse only such routes
in the streets of tbe city as each may select
with the approval of the Oity Conncil. The
Legislature did not intend to create an exclu
sive monopoly of all the streets by either com
pany for thirty years, and the Courts should
not do it unless tbe words of the grant are ao
clear aud definite as not to admit of any other
construction. If, however, the General Assem*
bly of 1872 were mistaken as to the extent of
tbe exclusive powers which had been granted
to tbe oomplainant'it company in the Act of
18CG, and that the exclusive power now claimed
had, in fact, been granted by that Ac\ was it
competent for the Legislature of 1872 to modi
ff or restrict that exoluaive grant of power un
der tbe general law of ibis .State es it existed at
the time of tbe grant, and tbe acceptance there
of by tbe company, aud has it done so by neo-
eaaary implication according to the cardinal
rule for the construction of statutes *s recog
nized by this court? The Cede took effect
on tbe first day of January, 1873, ard tbe
ICSlat section thereof deolares, tbat "In all
oases of private charters hereafter granted,
the State reserves the right to withdraw tbe
franchise unless aueh right is expressly nega
tived in tbe charter.” This section of the Code
introduced a tew clement into tbe law of pri
vate corporations in this State, and aU charters
granted by tbe Stato to priv«t* icoorporatiors
since its adoption arc sut j*ct to its provisions.
When tbe cc moany accepted the grant mads by
the General Assembly, it did so with a full
knowledge of this general law, as much so as if
it had been inserted in tbe Act incorporating
the company, and it is a well established rule,
that the laws which exist at the time aud place
of the making of a contract, enter into and
form apart of it Thecomplainantts oompany,
therefore, accepted the charter fnbject to the
right cf tho State to withdraw, modify or re
strict the franchise granted to it whenever the
State should think proper to do sv. The power
to withdraw the entire franchise granted neoec-
aarily includes tbe power to modify it, or to
restrict the exercisA of it, and tb9 question is
whether the General Assembly, by the passage
of tbe Act of 1872, has modified or restricted
the complainant's franchise as claimed under
the Act of 1SCG, even if it was exclusive to con
struct and u*c street railroads in all the streets
of tbe oity of Atlanta for thirty years. Tbe
grant to tbe defendant's compary to con
struct snd nae street railroads iu the
streets of the city. Is directly repugnant to,
snd Inconsistent with, the grant to tue oom
plainanta* company to have the exolosive
right to construct and nae street railroads in
all of tbe streets in the oity, and if tbe com
plainants' oompany did not have the exclusive
franchHo, as claimed under the Act of ISi'd,
that exclusive frauchLe is modified or re
stricted pro tanto. by necessary, implication, by
the Act of 1872. Both Acts cannot stand and
be operative, with the exclusive right of fran
chise claimed for tbe complainant’s company,
any more than two solid bodies could oocupy
the samp space at the esmo time. Ia ihe ces?
of tbe Union Branch Railroad Co. vi. the
Boat Tennesseo And Georgia Railroad Co.,
(14th Ga. Rep. 328.) this oouit held, and de
cided, that &n act of incorporation, in which the
Legislature have reserved the right of repeal,
may lie repealed by implication, upon tho prin
ciple that any affirmative statute ia a repeal by
implication of a precedent affirmative statute,
so far as it is contrary thereto. Our conclusion,
therefore, is,*that if the compLinsnt's company
had had the exclusive right granted to it by He
Ac* of 18GG, as claimed, that it w^s onmpAlent
for tbe General Asaemb’v. Under the general
law of tbe S’ate, to modify snd restrict that
grant, es it did by the passage of tbe Act of
1872, which repealed all lawa In cor 11 et with
tbe provision* of tbat Act This did not im
pair tho complainamVi contra?*, nnder its char
ter with the State, because it male tbe ccn-

which entered into and formed a pm of it.

street railroads iu the city of Atlanta, subj-ct

and during the limitation of their respective
charters, sot j-ct to tbe right reserved by the
State, to withdraw, modify, or restrict tbe re
spective franchises granted to each company,
m provided by tbe general !*w of the State, at
tbe time of the acceptance thereof by each
company.
Let the judgment of the oourt below grant
ing the io junction be reversed.
