1. That they desire for themselves, diieir as—
sociates, successors ansl assigns to become ncorpo—
rated as a private cerperation under the name
‘and style of the BEN HILL FAIR ASSOCBATION..
2. That the term for which petitioners ask to be
incorporated is for a pexiod of twenty years with
} the privilege of renewal at the expiratiom of that
time.
3. That the object of said Corporation. is- pecuni~
ary gain and profit fer the Stockholdezs thereof;
and the uplift of Bem Hill County.
4. That the principal place of business of said
Corporation shall be in Fitzgerald, Bexx Hill Coun
ty, Georgia, but Petitioners desire the privilege of
establishing and operating branches of said busi~
ness at such other places as may be deemed best.
5. That the capital stock of said C€orporatiom
shall be Five Thousand Dollars ($5,620.00), divid
ed into Two Hundred shares of the par value of
Twenty-iive Dollars ($25.00) each. Petioners de
sire the right to increase said capital stock at
any regular stockholder's meeting to. any amaant
not to exceed Fifty Thousand Dellars ($50.009.60),
and in like manner to decrease said capital stock to
any amount not less than Five Thousand Dollars
($5,000.00).
' 6. Petitioners show that ten per cent of said
capital stock has been already paid in

ers desire to carry on as such Corporation is as
follows: _
To maintain a fair and amusement ground; to
operate the same for profit; tc use or to lease said
ground for the purpose of holding or permitting to
be held therein fairs, carnivals, races, olympics,
tournaments, ball games, displays, exhibitions,
convention, public gatherings, and amusements,
and for all other like purposes, and uses, and for
agricultural purposes; ana to buy and seli for pro
fit at wholesale or retail, or both, all kinds of
goods, wares and merchandise, and all commodi
ties of every kind of description whatsoever; to
purchase, improve, own, hold and convey all
kinds of property. whether real, personal or mixed;
to offer and give prizes, premiums, and awards;
and generally to do or perform every act and thing
which may be necessary or convenient or profit
able for the carrying on of the business of said
Corporation to the best interests to the stockhold
ers thereof, or the uplift of said county.
8. That in addition to the powers and privileges
or doing the things herein before recited, petition
ers desire and pray that said Corporation be
clothed and invested with all the powers and priv
ileges usual and incident to corporations in gene
ral and in addition thereto the following powers
and privileges: To sue and be sued: to have and
use a corporate seal; to elect a president: vice
president, treasurer and secretarv, and board of
directors, and such other officers as may be deem
ed expedient and sufficient and to prescribe their
powers and duties; to make ard adopt a Constitu
tion and By-Laws for the government and direc
tion of the business of the said corporation and
the officers thereof; to lend or borrow money and
to issue bonds, notes or other negotiable evi
dences of debt and to secure the same by mort
gage, pledge, trust deed or otherwise, and to pro
vide for the payment thereof; to sell real estate,
personal property, goods, wares, merchandise and
commodities of every kind on credit, and to take
mortgage or other evidences of debt, or any kind
of collateral whatever, to secure the payment of
the purchase price of the same.
9. No person shal. become a shareholder in
said Corporation by transfer unless the same is
done on the books of the company in accordance
with its rule and that said Corporation shall have
the first lien upon the stock or shares of the stock
holders for any indebtedness that the stockholder
may owe or be liable for to the Corporation in any
manner, whatever.
10, Petitioners desire and pray that the shares
of stock of said Corporation shall be non-assess
able.
11. Petitioners desire and pray that no share
holder of said Corporation shall be liable individu
ally to the creditors of the said corporation, ex
cept to the extent of any unpaid balance due on
his stock subscription.
12. Petitioners desire and pray that said Cor
poration be authorized to accept and receive in
payment for its Capital Stock real estate and per
sonal property of any kind.
Petitioners pray that they and their associater,
succesors and assigns. may be incorporated under
the name and style aforeraid, and for the time
and purposes aforesaid; and with all the powers,
priviliges and immunities aforesaid.

An ordinance to provide for the
paving of all of those side walks
on Central Avenue from the alley
lying parallel between Thomas and
Sneridan streets, West to and ac
cross Johnston street; Johnston
Street, North to the tracks of the
Atlanta, Birmingham & Atlantic
Railroud Company; Pine Street,
from the point where the paving
of said street terminates at Sher
man street, East to and across
Sheridan street; Main street from
the point where Pine Street inter
sects it on. the South, North to
Central Avenue; that portion of
Sherman lying between: Central
Avenue and Pine Street and that
portion of Sheridan Street lying
between Central Avenue and Pine
Street which are at the present
time unpaved, all in the city of
Fitzgerald, Ben Hill County,
Georgia, and to provide for the
assessment of two-thirds, (3) of
the cost of said paving against
those persons, firms and corpora
tions owning the property abutt
ing ¢n said side walks so that the
cost >f said paving shall be paid
two-shirds, (3) by the property
owners and one-third, (#) by the
said city.

proprty owners, notifying them
thatthe paving of such side walks
mus be begun within two weeks
froathis date,service to be made on
suck property ownérs personally
or tirough tenants in possession.
Se. 3. Be 1t further ordained
that if said property owners have
‘not begun on the 17 day of June,
1912, in good faith to pave such
portion of side walks, then the
city of Fitzgerald. through its
proper officers or agents shall pro
ceed to have the same, keeping an
accurate account of the cost of
said paving adjoining the property
owners and when said work is
completed, two-thirds, (%) of such
cost shall be collected from said
property owners and the other
one-third, (3) to be borne by the
city, provided that any property
owner on said street who owns
property on the side walks adjoin
ing which has not been paved
shall has e the privilege of paving
the said side walk himself under
the supervision of the street com
missioner of said city, using in
said paving any form of cement
side walk now in common .use in
said eity and to be approved by
said street commissiorer. In case
said paving is done by any proper
ty owner it shall in good faith be
begun by the 17 day of June 1912,
and the work pushed to as speedy
a conelusion as practicable.
Sec. 4. Be it further ordained
that in case said work, or any por
tion thereof is done by the City
of Fitzgerald, when said work 1s
completed the city shall have the
right through its clerk to issue
executions for that portion of the
paving whien is due by the proper
ty owner and that the same shall
be levied or collected in the man
per set forth in Sec. 68 of the
charter of the said City, Acts.
1907, Page 637,
Sec. 5. Be it further ordained
that the said paving shall be done
whether by the city or vy proper
ty owners, under the supervision
ot the Street Commissioner of
said eity and the same shall be ae
cepted by him before it is approv
ed by the said city.
See. 6. Bec it further ordained
that all ordinances or parts of or
dinanees in conflict with this ordi
nance be and the same are hereby
repealed,
