Downing, \V. IC. Dempster, Walter
It. Isaac, and O. I’. Goodyear, Jr., all
of Glynn county, Georgia, respect
fully snows:
First. That they desire to be incor
porated under the name and style of
the “Brunswick l’aint Oil & Varnish
Company” for a term ol twenty
years, with the principal place of bus
iness at Brunswick Georgia and the
paiv'iliege of optablishing lag’enoeies
elsewhere and employing agents In
this state, the United States and for
eign countries.
Second. The object of said com
pany is to engage in manufacturing
and sidling goods for profit, and the
principal husincs which they desire
to engage in is the manufacture of
paint oil, varnisliirs. Infixed paints,
and sale of the same.
Third. The capital stock of said,
company to Ini fifty thousand dol
lars ($50,000), in shares of one hun
dred dollars each, one-half thereof to
he cumulative, participating prefer
red sloven 17) per cent paying divi
dend paying stock, that is to
say that before the common
stock shall receive dividends there
shall first he paid to the preferred
stock a seven per cent dividend,, and
if for any yep,r earnings are Insuffi
cient to pay all or any portion of such
seven per cent, dividend, that such un
paid dividends or portion thereof
shall he paid to said preferred stock
whencveij .subsequent earnings au
thorise it, and should earnings au
thorize an excess of dividend over
seven per cent to both common and
preferred stock, such surplus, or so
much thereof as is declared an ad
ditional dividend, to bo divided equal
ly between the preferred and the com
mon stock; each class of stock to
have equal voting power with the
other; each share of stock to he en
titled to one vote in all stockhold
ers meetings; a majority of ail stock
issued to sonstitute a quorum in such
meetings, and a majority of such quo
rum to decile all questions at reg
ular or called stockholders meetings.
