To the Superior Court of said
County:
The petition of E. Mat-hen. Fred
eric 15. Chandler and F. E. Twittv, all
of said state and county, respectfully
shows
1. That they desire for themselves
and their associates to be incorporated
under the corporate name and style of
“The Southern Land and Cattle Com
pany.”
2. That tho object of the proposed
corporation is the pecuniary gain of
its members, and its special objects
are: To buy, own, hold and improve
lands and real estate generally, and to
sell or otherwise dispose of the same;
to buy and sell cattle and outer live
stock; to own and maintain slaughter
houses; to buy and sell dressed in
and other meats; to. buy, own, hold
and sell stocks and bonds and per
sonal property of any kind; pud gener
ally to do such other acts and things
as may be deemed for cue best inter
est of the corporation, not inconsistent
with its charter or tue laws of Geor
gia.
3. Tho principal office of tho pro
posed corporation shall be in the city
of Brunswick, Glynn county, Georgia,
with the right to establish branches
or agencies at other places in said
state or in other states.
4. That the capital stock of the pro
posed corporation shall he fifty thou
sand dollars, divided into five hun
dred snares A>f the par value of one
niiudml dollars each, with the right,
by a vote of the majority 01 the
stock, to increase such capital stock
li-om time to time to any sum or sums
noL-to exceed three hundred thousand
dollars. Petitioners desire the right
to re'ceive in payment for stock real
estate or personal property, at a val
uation to be fixed by the board of
directors of said corporation.
5. That said corporation proposes to
require the payment of at least ten
per centum of tho subscribed capital
stock before beginning business.
ii. That tho officers of tnojunposed
corporation shall be a president, vice
president. secretary and treasurer, and
such other officers or agents as the
stockholders or directors may consti
tute or appoint; that the hoard of dir
ectors shall consist of not less than
three nor more than seven, all of
whom shall be shareholders, such dir
ectors to be elected by tho snare
holders.
7. That the stockholders shall have
tne right to make by-laws, rules and
regulations for the governmemt of
lln corporation, or to delegate this
authority to the directors.

and style, your petitioners desire the
right to contract and be contracted
with; to sue and be sued; to borrow
money and secure tne same as the
hoard of directors may desire; to
have and use a common seal, and to
change tne same at pleasure; and
generally to have all the rights, priv
ileges and powers incident >o and
necessary and proper in the conduct
and operation of the business of tire
proposed corporation, and all the
rights, privileges and powers given

der the laws of Georgia.
2. That there shad he no individual
liability upon the part of any share
holder of the corporation, except for
such amount as may be due by such
shareholder as unpaid subscription
