WHEREAS, a Power of Sale is
contained in that certain Security Deed
(hereinafter referred to as the “Security
Deed") given by Archie L. Lawton, Jr. and
Marilyn B. Lawton to Family Federal
Savings and Loan Association, dated
February 17,1978, recorded in Deed Book
519, Page 612, Houston County, Georgia
Records, conveying the after-described
property to secure a Note in the original
principal amount of FORTY FOUR
THOUSAND EIGHT HUNDRED 4 NO/
100 DOLLARS ($44,800.00), with interest
thereon as set forth therein, and
WHEREAS, effective June 21, 1989,
the Federal Home Loan Bank Board
(“FHLBB") by FHLBB Resolution No. 89-
1591, appointed the Federal Savings and
Loan Insurance Corporation (“FSLIC") as
Receiver for Great Southern Federal
Savings Bank, Savannah, Georgia,
pursuant to Section 5(d)(6)(A) of the Home
Owners’ Loan Act of 1933, as amended
(“HDLA"), 12 U.S.C. Section

WHEREAS, effective June 21, 1989,
FHLBB by Resolution No. 89-1592,
authorized the creation of and issuance of
a charter for a new federal savings and
loan association named Great Southern
Federal Savings and Loan Association;
and
WHEREAS, effective June 21, 1989,
FHLYB by Resolution No. 89-1594,
authorized the transfer of the assets of
Great Southern Federal Savings Bank to
Great Southern Federal Savings and Loan
Association; and
WHEREAS, effective June 21, 1989,
FHLBB by Resolution No. 89-1598,
appointed FSLIC asOonservator for Great
Southern Federal Savings and Loan
Association; and
WHEREAS, pursuant to the aforesaid
FHLBB Resolutions, by operation of law
pursuant to Section 1821(d)(2)(A) and 12
U.S.C. Section 1441a(b)(4), and by virtue
of that certain Acquisition Agreement
between Great Southern Federal Savings
Bankand Great Southern Federal Savings
and Loan Association, FSLIC as
Conservator for Great Southern Federal
Savings and Loan Association succeeded
to all right, title and privilege in the Security
Deed, the property described therein, the
indebtedness secured thereby, and the
Power of Sale contained therein, with full
power to transfer and convey the Security
Deed and to exercise the Power of Sale
contained therein; and
WHEREAS, effective August 9, 1989,
the Resolution Trust Corporation (“RTC")
as Conservator succeeded to all right, title
and privilege in the assets of Great Southern
Federal Savings and Loan Association, as
successor to FSLIC as Conservator by
operation of law pursuant to Section
21 A(b)(6) of the Federal Home Loan Bank
Act, as amended by Section 501 of the
Financial Institutions Reform, Recovery and
Enforcement Act of 1989 (“FIRREA"); and
WHEREAS, effective June 22, 1990,
the Office of Thrift Supervision (“OTS"),
Department of the Treasury, by OTS Order
No. 90-1221, replaced RTC as Conservator
with RTC as Receiver for Great Southern
Federal Savings and Loan Association;
and
WHEREAS, pursuant to the aforesaid
OTS Orders under authority granted in
Section 5(d)(2) of HOLA, as amended by
Section 301 of FIRREA, and by operation
of law pursuant to 12 U.S.C. Section
1821(d)(2)(A) and 12 U.S.C. Section
1441a(b)(4), RTC as Receiver for Great
Southern Federal Savings and Loan
Association succeeded to all right, title and
privilege in the Security Deed, the property
described therein, the indebtedness
secured thereby, and the Power of Sale
contained therein, with full powerto transfer
and convey the Security Deed and to
exercise the Power of Sale contained
therein; and
NOW Therefore, pursuant to the above
described Powerof Sale, RTCas Receiver
for Great Southern Federal Savings and
Loan Association will sell at public outcry to
the highest bidder for cash before the
courthouse door of Houston County,
Georgia, within the legal hours of sale on
the first Tuesday in August, 1994, the
following described property;

provided in the Security Deed and by law,
including attorney’s fees (notice of intent to
collect attorney’s fees having been given).
Said property will be sold subject to any
outstanding ad valorem taxes (including
taxes which are a lien, but not yet due and
payable), any matters which might be
disclosed by an accurate survey and
inspection of the property, any
assessments, liens, encumbrances, zoning
ordinances, restrictions, covenants, and
matters of record superior to the Security
Deed first set out above.
