yesterday morning congratulating
Senator Harrell upon a magnify
cent bouquet of flowers he found
on his desk on his arrival in the
senate chamber. The congratu
lation^ were redoubled when they
saw the card attached and found
on it the names of half a dozen

tribute to the popular senator for
the uniform courtesy he shows the
people from his county and dis-
trict when they visit Atlanta. But
Senator Harrell’s popularity is by
no means confined to the people

Graham, of the county of Decatur and
State of Georgia, respectfully Rhoweth,

and made a bodv corporate and politic,.

is the mutual gain and profit to its
stockholders, and to obtain this end they
desire. f
a. To construct, build, own and op
erate a standard guage railroad from
Brinson, in Decatur county, State of
Georgia, in a southwesterly direction for
a distance of twenty miles, for the pur
pose of hauling logs, lumber, naval
stores, farm products, merchandise,
wood, etc.; to buy, own, lease, sell, use"
and operate locomotives, tram and rail
road engines, rolling stock and tank cars
on the same; to build, construct, and
project tram roads and railroads contig
uous to, and in connection therewith,
and for the purpose of furthering, facili
tating, and more readily and easily car
rying on the aforesaicj business of haul
ing logs, lumber, naval stores, farm pro
ducts, merchandise, wood, etc., as pro
posed; and to charge therefor and to
make special oontrrcts for such uharges,
in each instance, and for no other pur
pose.
b. To borrow, and loan money; to
buy, owu, vent, lease, farm-let, sell and
otherwise handle or dispose of realty and
personalty of every description; to mort
gage or encumber in any manner, real
and personal property; and to do all
other acts aud things necessary for 1 he
furtherance of tlieir business.
Third, They show that the principal
office ot said company shall be located
at Brinson, Decatur countv, Georgia, hut
they desire the right to establish and
maintain offices at such other places as
the business of said company shall de
mand.
Fourth. The capital stock of said
company shall be fifty thousand dollars
($50,009.00), divided into five hundred
'500; share of one hundred (.>>100.00) dol
lars each, fifty, thousand dollars ($(0.000i
of which has been fully paid in. They
desire they right to increase the capital
stock by a vote of two-thirds (2-3,1 of the
stock issued loan amount not exceeding
oils hundred thousand dollars, when it
may l/e deemed necessary, during the
term of tin- incorporation.
Fifth. No stockholder in said corpo
ration shall be bound in his individual
capacity for the debts or contracts of
raid corporation, beyond the amount of
his unpaid subscription to its capital
stock.
Sixth. They desire to have aud use a
common seal, and in the name of the
corporation, to sue and lie sued, plead
and be impleaded, in any court of law
or equity, they desire the right to make
contracts, borrow aud loud money, aud
create such evidences of lebt as the cor
poration may desire, and to secure the
same by nfortgage-deed, trust-deed, deed
-to secure debt, or other instruments,, in
writing, upon its property.
Seyenth. They desire the right to
make all proper rules and b> -laws, and
to alter the same at plea-are, and to
create and elect such officers aud direc
tors as they see fit and proper.
Eighth. The officers of said corpora
tion shall be a president, a vice-presi
dent, a secretary and a treasurer. The
office.of secretary and treasurer may bo
consolidatad and held by one and the
same person. There shall also be a
board of directors, the number of which
sliau be prescribed by the by-laws, and
elected annually by a majority vote of
the stock represented at such meeting.

shall prescribe, at which he directors
shall be elected, and a majority of the
directors shall elect the officers of said

Tenth. On failure to hold an annual
meeting any two stockholders may call
a meeting by giying thirty days notice
oy advertisement in the newspaper
known as the official organ of Decatur
county.
Wherefore, petitioners pra < to be in
corporated and made a body corporate,
under the style arid name of WAIN-
HURST RAILWAY, with such powers
and privileges are incident to corpora
tions of the same character, and as are
allowed by the laws of said State, and
conferred by the Superior Courts there
of, and as may be hereafter allowed by
the same.
